Dividend PolicyTCB has a policy to pay dividends to shareholders in accordance with the notifications of the Bank of Thailand and as required by relevant laws. TCB`s Board of Directors will consider the dividend payment by taking into account the ability to pay dividends out of its net profits in accordance with the standalone financial statements after deduction of corporate income tax and all types of reserves as required by laws and as determined by TCB in each respective year. Such dividend payments must not exceed the retained earnings under the separate financial statements. In the event that TCB`s financial statements have an accumulated loss, TCB will not pay any dividends. TCB`s Board of Directors will consider the ability to pay dividends based on legal requirements and TCB`s articles of association by adhering to the principle of prudency and through taking into account various factors for the benefit of shareholders, including economic conditions, operating results, financial conditions, cashflow, investment and business expansion plans, reserves for debt repayments, compliance with conditions under various agreements, TCB`s working capital, and potential future risks as well as other necessities and suitability in the future that TCB`s Board of Directors deems suitable or appropriate.
Dividend payments shall not affect TCB`s normal operations in any material respects and shall be subject to applicable laws, rules, regulations or rulings. When TCB`s Board of Directors has resolved to approve the annual dividend payment of TCB, the declaration of dividend payment must then be proposed to the shareholders` meeting for approval, unless it is an interim dividend payment in which case TCB`s Board of Directors has the authority to approve interim dividend payments from time to time when TCB`s Board of Directors considers that TCB has sufficient profit to do so. The payment of interim dividends must then be reported to the next shareholders` meeting for acknowledgement.
In this regard, TCB`s Board of Directors Meeting No. 2/2023, held on 22 February 2023, approved in principle the dividend payment rate for year 2024 to 2027, which is expected to be between approximately 5% to 20% of net profits in each respective year as mentioned above. However, before approving the dividend payment, TCB must comply with laws and consider the requirements specified in the dividend payment policy mentioned above.
In this regard, the dividend payment after year 2027 will be in accordance with TCB`s dividend payment policy.
